In his view it was of particular significance that the claimant had deliberately chosen to depart from the agreed payment terms rather than payment being delayed as a result of a mistake or financial issues which left the defendant to continue bearing the costs of running the Practice in the meantime which are not at all à ¢Ã¢â ¬ÃÅ"trivialà ¢Ã¢â ¬Ã¢â ¢ amounts. Underhill LJ also warned against a possible misbelief, coming from the decision in Decro-Wall International SA v Practitioners in Marketing Ltd[17], that late payment could never be repudiatory if eventual payment was assured by stating that the facts of that case and the case at hand are à ¢Ã¢â ¬ÃÅ"very differentà ¢Ã¢â ¬Ã¢â ¢. He believed that although defendantà ¢Ã¢â ¬Ã¢â ¢s letter of 15th June 2010 was not a notice of termination, it was neverthel ess à ¢Ã¢â ¬ÃÅ"significantà ¢Ã¢â ¬Ã¢â ¢ as it brought about the risk of the contract being terminated. Moreover, it was mutually agreed that the claimantà ¢Ã¢â ¬Ã¢â ¢s failure to make monthly payments was a breach of the contract however Underhill LJ maintained, by relying upon Rice v Great Yarmouth Borough Council[18], that claimantà ¢Ã¢â ¬Ã¢â ¢s failure to make three monthly payments prior to termination resulted in à ¢Ã¢â ¬ÃÅ"cumulative effectà ¢Ã¢â ¬Ã¢â ¢ and hence was a repudiatory breach and his proposed set-up in the letter dated 12 October 2010 was clearly, as Underhill LJ terms, à ¢Ã¢â ¬Ã âa complete departure from the contractual arrangementà ¢Ã¢â ¬Ã . He strongly condemned claimantà ¢Ã¢â ¬Ã¢â ¢s justification that he delayed the payment because of the fear of future refusal of reimbursement by the defendant if the former fails to complete the UDAs and therefore has to refund the overpayment to PCT. He stressed that such considera tions should not be allowed to modify the otherwise well-understood rules about what constitutes repudiation as it would enable the parties to lawfully take law in their own hands when there are always other options available such as taking the party to court or signing a counter agreement pertaining to oneà ¢Ã¢â ¬Ã¢â ¢s own convenience. It is quite clear that Underhill LJ gave emphasis to claimantà ¢Ã¢â ¬Ã¢â ¢s refusal to continue with the original arrangement than to the fact that the defendant would eventually be paid. In addition, he deduced, by referring to The Nanfri[19], that Lord Diplockà ¢Ã¢â ¬Ã¢â ¢s reference/test of a breach depriving a party of à ¢Ã¢â ¬ÃÅ"substantially the whole benefità ¢Ã¢â ¬Ã¢â ¢ in Hong Kong Fir[20] is not a principle that can be applied in every case. Conclusion The Court of Appeal (CA) unfurled many factors that can be relevant in deciding whether such a breach is repudiatory or not. These factors include the type of contract, type of relationship and type of term involved. Apart from this, determining the consequences of the breach was also held to be of particular importance. There were certain unclear issues within the law on repudiation for instance, the issue at hand, termination because of delayed payment in an oral contract. Therefore, it can be rightfully concluded that this case further perfected the Law on repudiation and warned that parties should be careful before terminating the contract if there is a delay in payment and should instead give the other party an ultimatum which makes time of the essence an express term of the contract. Nevertheless, there still is a certain level of doubtfulness surrounding these issues and this can be seen from Lady Justice Ardenà ¢Ã¢â ¬Ã¢â ¢s statement in her judgement[21] in which she admits that no one rule can be used in such cases and from the fact that this case was appealed in the Supreme Court[22]. Moreover, although the formulation of the concept of innominate term gives a lot of remedial flexibility to the judges, it is still a cause of trouble for the parties involved as they can never know when they have the right to terminate the contract. Additionally, the word à ¢Ã¢â ¬ÃÅ"substantialà ¢Ã¢â ¬Ã¢â ¢ is open to interpretation and every individual would see it differently. The damages incurred by the defendant might not be à ¢Ã¢â ¬ÃÅ"substantialà ¢Ã¢â ¬Ã¢â ¢ for the majority of the judges but it might be more than that for the defendant himself, thus the judgement would be unfair for him. Another point that makes the decision doubtful is the fact that the CA was split on whether the breach was repudiatory or not. The lesson learned is that implementation should be conducted one step at a time, each successful Installation reinforcing managementââ¬â¢s initial decision to purchase. Th rough the entire TCO process a major activity is the TCO cost analysis. This continues to be refined as new information becomes available during the project. This activity includes classifying the costs according to the financial policies of an organization as well as defining the financial model for the project. The third methodology is the Cost Collection. Once the financial and cost model has been determined, all available cost estimates are collected. Once these are entered into the financial model, a baseline is determined. The total cost of ownership that is presented in this deliverable should be considered a snapshot in time. It is important that all stakeholders understand this and that the TCO may or may not change substantially from this point forward (Devry, unknown). The fourth methodology is Evaluation/Final Report. While both methods are valid, they can give different results; it is important that the organization establish a policy for ROI computations across all projects (Devry, unknown). One of the more difficult aspects of an ROI calculation is determining the soft, or ââ¬Å"peopleâ⬠benefits. Three considerations that impact these soft benefits follow: * Speed of adoption:à This benefit considers how quickly employees come up to speed using the new process, system, technology, or tools provided by the implementation. Notably, each of these individuals tends to bring a special set of values and experiences to the workplace, many of which can be traced to the culture in which they grew up and now function (Banks, 2008). Organizations that can effectively facilitate communication, both verbal and written between members of different cultural groups, are be tter equipped to triumph than organizations that encourage conflicts from internal cultural distinctions to worsen and harden. The significance of effective intercultural communication can hardly be overstated; it shapes cultural identity. Most employees, business owners, and researchers agree that the most significant component in effective intercultural communication concerns language (Bennet, 2011). Language issues are a constant source of conflict together with inefficiency in todays diverse workforce throughout the globe. Business owners acknowledge that their organizations are more likely to be victorious if they can establish effective systems of intercultural communication. Methods, Methodology or Procedure. The study was carried out on a group of employees and supervisors of an international organization comprising of a diverse workforce. This sample was selected using the sample survey research design which incorporates choosing a representative number of units from the population so as to make generalizations to the population from which the sample was taken (Deardorff and Bowman, 2011). A letter was drafted to request for permission to interview the employees. The research instruments used included questionnaires and interviews. The implementation of intercultural communication, particularly how the senior management communicated with the subordinates was monitored and the findings recorded. Findings. From the study, it was observed that some of the employees did not fully comprehend what was expected of them with regards to assigned tasks. Furthermore, a few supervisors had no knowledge of a foreign language and could therefore not effectively communicate to the employees. As already stated, effective intercultural communication is important in ensuring that organizational objectives and goals are achieved. Presentations and persuasion Researchers have in the recent past shown that there are preferred cultural persuasive techniques, although little empirical study has looked at the strategies for adapting persuasive styles in intercultural business interactions (Feng, Byram and Fleming, 2009). In the study conducted, some employees cited that it was rather difficult to approach the senior managers whenever they had a concern or issue that required immediate attention. This was attributed to how these managers presented themselves and the attitude they had towards the employees. In presenting tasks and persuading the diverse workforce to complete them, supervisors who did not possess foreign language skills had the most difficult time communicating. Negotiations and interviews. As already indicated, the international company in question usually conducts interviews before hiring suitable employees. However, there are those among the candidates who are qualified for the job but are not fluent in English. Communicating with such individuals is quite difficult and in most cases, an interpreter is needed. Moreover whenever there are negotiations between two individuals from different backgrounds or ethnicities, conflicts can arise due to misunderstandings. Groups, meetings and discussions (formal and informal). One of the many areas where cultural differences tend to manifest is in intercultural meetings and discussions. Here, differences in etiquette, interpretations of professional behavior and corporate rules, and cultural values are at their most visible (Anderson, 2008). Most of the employees and supervisors interviewed during the study admitted to the fact that a few misunderstandings have come up due to differences such as time, hierarchy, and the purpose of the meetings. Each employee from the diverse workforce has their own cultural gestures, mannerism, ways of expression, and etiquettes. That is why it is important for supervisors to learn different intercultural communication techniques so as to avoid misunderstandings. It is also important to compromise when holding formal and informal discussions given that the employees have differing values, beliefs, principles, and backgrounds (Banks, 2008). Trust and/or conflict resolution issues. Both supervisors and employees interviewed in the study cited that there have been numerous instances when conflicts have come up. Trust is one of the most essential qualities of human relationships, particularly in todays intercultural workforce. Under settings of low trust, problem solving is usually degenerative and ineffective. It is important to understand the potential for conflicts to come about in todays multicultural work setting. Such conflicts may incorporate the normal disputes that people get themselves into, including those based on lack of understanding for other individuals, and ignorance (Bennet, 2011). According to the staff of the international company in the study, majority of the disputes arise as a result of values, misinterpretations and misinformation, emotions, and roles. Therefore, it is important for the senior managers to provide a thorough explanation of the dispute resolution process. An open line of communication should also be established so as to make the employees more comfortable in approaching them whenever they have a concern or opinion. Conclusions Looking at what has been discussed above, it is crucial that todays managers be proactively engaged in communication skills assessment while making the necessary adjustments, especially where a diverse workforce is concerned. Notably, when dealing with intercultural communication, it is important to formulate a strategy and come up with the most effective techniques of not only managing, but also communicating with ones business interactions. Even if they do not get it right all the time, employees and business owners will appreciate a leaders willingness to meet them on common ground. In turn, team members will be motivated to work cohesively and attain the highest potential. Recommendations With the study conducted of the international company staff members in mind, a few recommendations can be made as to how the organization can improve on its intercultural communication with its diverse workforce. For instance, supervisors and senior management should not assume that the way they communicate is applicable to all communities they interact with (Deardorff and Bowman, 2011). Moreover, members from other cultural backgrounds should be involved in regular communication in order to comprehend and learn each others culture. In turn, the members will grow closer. During conflicts or misunderstandings, it is important to empathize with others. This is done by putting him or herself in the position of those from other cultures while trying to think and communicate in their way (Feng, Byram and Fleming, 2009).
